0. Definitions

For purposes of these Terms:

Service means the mobile application, website, and any related services operated by Epochle Pty Ltd.

User or you means any individual who accesses, uses, or registers for the Service.

Content means any text, images, video, audio, data, code, or other material made available on or through the Service, whether provided by users, the Company, or third parties.

User Content means Content submitted, uploaded, posted, or otherwise made available by a User through the Service.

Public Content means any portion of User Content that is visible to other users, including messages displayed in Rooms, usernames, and profile elements. It does not include private messages exchanged directly between individual users.

Room means a topic based group discussion space within the Service, where messages are generally visible to all users and participation may range from a few users to larger audiences who may observe the conversation without joining.

Moderator means a user who is granted access to certain in-app tools or permissions to manage content or interactions within Rooms. Moderators act voluntarily and are not employees, agents, or legal representatives of the Company unless explicitly stated otherwise.

1. Introduction

Welcome to Moopes, operated by Epochle Pty Ltd ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our websites located at https://moopes.com, our mobile application Moopes, and any related services (collectively, the "Service").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

While these Terms are governed solely by the laws of Victoria, Australia, the Company may voluntarily implement certain features or policies to align with U.S. federal or state legal frameworks where reasonably necessary or expected by our US based users. This includes, but is not limited to, privacy, content moderation, and intellectual property practices. Such alignment does not constitute submission to U.S. jurisdiction or waiver of any rights under Australian law.

Geographic Availability

The Service may be made available in multiple countries and territories from time to time. The Service is offered only in jurisdictions where the Company has chosen to make it available and where its use is legally permitted.

The Company makes no representation that the Service is appropriate, lawful, or available for use in every jurisdiction. You are solely responsible for ensuring that your access to and use of the Service, including any content you create, post, or share, complies with all laws and regulations applicable to you in your local jurisdiction. This includes, but is not limited to, laws relating to online conduct, speech, communications, and digital content.

The Company may restrict, suspend, or disable access to the Service (in whole or in part) in any location at any time, including through IP-based geoblocking or other technical measures. The availability of features, moderation response times, and safety tools may vary by region based on operational capacity, technical constraints, or legal considerations. The Company does not guarantee uniform availability, performance, or enforcement across all locations.

Nothing in this section shall be construed as the Company consenting to the jurisdiction of any foreign court. Any availability of the Service outside the State of Victoria, Australia does not alter the governing law, forum, or arbitration provisions set out in these Terms, subject to any mandatory consumer rights that cannot be lawfully excluded.

Language of the Service

The Service operates in English, and users are expected to communicate in English so that content can be reasonably understood and moderated. Content that is not reasonably understandable in English may be restricted or removed at the Company's discretion.

We reserve the right to restrict, remove, or take action on content that cannot be reasonably reviewed or understood by our moderation systems or processes. Users are responsible for ensuring that their communications remain understandable within the context of the Service.

2. Communications

By creating an account, you consent to receive emails and in-app messages from us. You may opt out of receiving promotional communications at any time by clicking the unsubscribe link in our emails or adjusting your preferences in your account settings.

You may also receive in-app or push notifications depending on your device and preferences. You can control these notifications through your mobile device settings or account preferences.

Please note that certain transactional or service related messages, such as security alerts, system updates, or account notifications, may still be sent even if you opt out of promotional communications.

3. Content

Our Service allows you to post, store, share, and otherwise make available certain types of material. This material is referred to in these Terms as User Content. Content includes both User Content and other material made available through the Service, including content from other users, the Company, or third parties. While not all content-related features may be available at this time, we may introduce them in future updates.

You are solely responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness. By posting Content on or through the Service, you represent and warrant that:

(i) the Content is yours (you own it) and/or you have the right to use it and to grant us the rights and license as provided in these Terms; and

(ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

You retain any and all of your rights to any Content you submit, post, or display on or through the Service and are responsible for protecting those rights. We take no responsibility and assume no liability for any Content you or any third party posts on or through the Service.

However, by posting Content using the Service, you grant us a worldwide, transferable, sub-licensable, royalty-free license to use, reproduce, modify, publicly perform, publicly display, and distribute such Content for the purpose of operating and promoting the Service. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.

User-generated content does not reflect the views or opinions of Epochle Pty Ltd. We are not responsible for the accuracy, completeness, appropriateness, or legality of any user-generated content. We reserve the right, but are not obligated, to monitor, edit, or remove any Content that we determine, in our sole discretion, to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party's intellectual property or these Terms of Service.

We may terminate the account of any user found to be infringing on the copyright of others.

3.1 User Content License for Promotional Purposes

By posting Content on or through the Service, you grant Epochle Pty Ltd a perpetual, non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, store, display, reproduce, modify, create derivative works, perform, and distribute your User Content for the purposes of operating, developing, providing, promoting, and improving the Service, and for research and development of new services. This license continues even if you stop using the Service or delete your account.

You understand and agree that Epochle Pty Ltd:

  • Will not provide financial compensation for the use of your Content under this license;
  • May use your username, profile picture, and other public information about your use of the Service in connection with commercial, sponsored, or promotional content;
  • May display your public Content (e.g., text, photographs, graphics, or videos) in marketing materials, press releases, blog posts, social media, or other promotional media.
  • May use anonymized or aggregated data derived from your Content for marketing, research, and analytics.

You retain full ownership of your Content and the right to use and distribute it elsewhere. This license does not restrict your rights or ownership. You represent and warrant that you own or have the necessary rights to grant us this license for any Content you post on or through the Service.

Only publicly visible Content such as room posts, usernames, profile images, bios, reactions, or other material viewable by others on the Service may be used in promotional or marketing materials. Private messages or any non public content will never be used without the user's explicit consent.

3.2 Platform Role and Content Awareness

Epochle Pty Ltd provides a passive, technology-based platform for user-generated discussion. User content is submitted and becomes visible on the Service without prior review or approval by the Company. We do not monitor user content on a proactive or real-time basis. While we may encounter content in the ordinary course of operating or using the Service, we typically become aware of specific material only when it is reported to us in accordance with these Terms.

We do not assume editorial responsibility for user content and do not endorse, adopt, or verify any views or representations expressed by users. Any opinions, advice, or information posted by users reflect the views of those individuals alone and not the Company.

To the extent permitted under applicable law, the Company claims the benefit of liability limitations similar to those afforded to interactive computer services under 47 U.S.C. §230 (Section 230 of the U.S. Communications Decency Act).

As of the date of these Terms, the Company operates servers in the United States. The Service may be made available to users in multiple countries and territories, subject to the Company's geographic availability decisions and applicable law.

3.3 Advisory on Sharing Personal Information

For your safety: We recommend that you do not post personal details (e.g., your real name, phone number, email address, home address, or social media accounts) in public areas of the Service. If you choose to share such information, do so only in private messages and only with people you trust. You are solely responsible for any personal information you choose to disclose. We may, at our discretion, remove public content that appears to include personal information, but we are not obligated to do so.

3.4 Notice of Unlawful or Defamatory Content

Users may report content through the in-app reporting tools for general moderation purposes. If you believe that any content is unlawful under applicable law, defamatory, or otherwise in breach of these Terms, you may submit a formal notice by following the procedure below and providing the required information. The Company may request additional information where reasonably necessary to assess a notice.

  1. A detailed description of the offending content;
  2. The exact room name where the content appears;
  3. An explanation of why the content is unlawful or defamatory;
  4. Your full name, mailing address, and email address;
  5. A statement confirming that the information you are providing is true and accurate to the best of your knowledge, and that you believe in good faith that the content is unlawful or violates these Terms.

Upon receiving a valid notice, the Company will assess the reported content and may, in its sole discretion, remove the content, restrict access, or take other appropriate steps. The Company does not guarantee response times or outcomes. Reports that are incomplete, legally insufficient, or submitted in bad faith may not be acted upon.

Submitting false, misleading, or abusive notices may result in legal liability. This process does not limit any other rights the Company may have under these Terms or applicable law.

The Company does not assume responsibility for detecting or removing unlawful or defamatory material unless and until such content is brought to our attention through the reporting process described in these Terms.

3.5 Child Safety and CSAM Reporting

The Company does not permit CSAE or CSAM on the Service. If the Company obtains actual knowledge of content that constitutes CSAM, we may remove or disable access to the content, restrict or terminate involved accounts, preserve relevant information as required by law, and take other appropriate action.

Where legally required, the Company will report confirmed CSAM to the National Center for Missing and Exploited Children (NCMEC) or the relevant regional authority.

4. Reliance on Information Provided

The information presented on our Service, including user-generated content, should not be relied upon without independent verification. We do not warrant the accuracy, completeness, reliability, or timeliness of any information displayed on our Service.

Users are solely responsible for verifying any information through external sources to confirm its accuracy and currency. By using the Service, you acknowledge that any reliance on the information provided is at your own risk.

Epochle Pty Ltd will not be liable for any errors, omissions, or inaccuracies in the information provided, nor for any actions taken based on such information.

5. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

Legal and ethical restrictions

(a) In violation of any applicable national, state, or international law or regulation.

(a1) You may not use the Service if you are located in, ordinarily resident in, a national of, or accessing the Service from any country or region subject to comprehensive trade sanctions or embargoes imposed by Australia, the United States, the United Nations, the European Union, the United Kingdom, or other applicable authorities, or if you are using the Service on behalf of any person or entity subject to such sanctions.

(b) To exploit, harm, or attempt to harm minors, including by exposing them to inappropriate content.

(b1) Child Sexual Abuse and Exploitation (CSAE) and CSAM. You may not use the Service to exploit, harm, or attempt to harm a minor, including by creating, uploading, storing, sharing, soliciting, or distributing any content or behavior that involves or promotes child sexual abuse or exploitation. This includes child sexual abuse material (CSAM), grooming, sexualization of a minor, sextortion involving a minor, or any attempt to facilitate or enable child exploitation.

(c) To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

(d) In any way that infringes upon the rights of others or that is illegal, fraudulent, threatening, or harmful.

(e) For any purpose that is abusive, hateful, harassing, violent, defamatory, obscene, or otherwise objectionable.

(f) For any commercial purpose or financial solicitation without prior written consent from the Company.

(g) To discriminate, insult, or defame on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

(h) To submit false, deceptive, or misleading information.

Content and communication violations

(i) To post or transmit any unsolicited advertising, promotional material, "junk mail," "chain letters," "spam," or any similar solicitation.

(j) To engage in phishing, pharming, pretexting, or other forms of deceptive conduct.

(k) To post or promote obscene, adult, sexual, pornographic, or illegal content, including material related to illegal drugs.

(l) To post or promote offensive content, including hate speech, bullying, harassment, abuse, personal attacks, slurs, or threats of violence, or to otherwise engage in conduct that causes or is intended to cause emotional distress to another user.

(m) Posting or attempting to post another person's personal or identifying information ("doxxing") without their explicit consent. This includes, but is not limited to, sharing or threatening to share another person's phone number, home or work address, government identification details, financial information, or non-public social media accounts.

(n) To create or promote content or rooms that are primarily focused on political advocacy, campaign messaging, or partisan political themes, including content supporting or opposing political candidates or parties.

(o) To post commercial marketing or request financial compensation or arrangements without prior written consent.

Security and technical violations

(p) To interfere with or circumvent the security features of the Service, any related systems, or the broader Internet.

(q) To introduce viruses, trojan horses, worms, logic bombs, or other malicious or harmful code.

(r) To attempt unauthorized access to, or interfere with, any part of the Service, its servers, databases, or connected systems.

(s) To carry out denial-of-service attacks (DoS or DDoS) or otherwise disrupt the availability of the Service.

(t) To damage, manipulate, or falsify any ratings, rankings, or feedback mechanisms related to the Company or its Service.

Automated access or scraping

(u) To use any robot, spider, crawler, scraper, or other automated device to access, monitor, or copy content from the Service without prior written consent.

(v) To use any manual process to scrape or monitor the Service in an unauthorized manner.

(w) To use any device, software, or process that interferes with the proper working of the Service.

General misuse

(x) To engage in any conduct that restricts or inhibits others from using the Service, or that, in our sole judgment, may harm the Company or expose users to liability.

We reserve the right to suspend or terminate your account and take appropriate legal action for any breach of this section.

6. Analytics

We use analytics and diagnostic tools provided by third-party service providers to help us understand how the Service is used and to improve performance, stability, and user experience. These tools may collect information such as device data, usage activity, crash reports, and performance metrics.

Our service providers process this information on our behalf and in accordance with their own privacy practices. To learn more about how Google and other providers handle data, please review their privacy policies:

Your device or browser may offer settings that limit certain types of data collection (such as resetting device identifiers or enabling "Do Not Track"), but these settings may not affect all analytics tools.

7. Privacy

Your privacy is important to us. Our Privacy Policy governs our collection, processing, and use of your personal information and outlines your rights and choices regarding your data.

By using the Service, you agree to the terms of our Privacy Policy and consent to our data practices as described therein.

The Company complies with the Australian Privacy Act 1988 (Cth) and, where applicable, seeks to align with U.S. state privacy laws such as the California Consumer Privacy Act (CCPA/CPRA).

Where the EU General Data Protection Regulation (GDPR) or UK GDPR applies, the Company will provide required disclosures and honor applicable data subject rights as described in the Privacy Policy, subject to any applicable exemptions or limitations under those laws.

All personal data is stored on servers located in the United States, hosted by Amazon Web Services (AWS), and may be accessed from Australia or other countries as required for operation and support of the Service. We take reasonable steps to ensure that any overseas recipients of personal information, including cloud service providers and technical support contractors, do not breach the Australian Privacy Principles (APPs) in relation to your personal data. We implement security measures to help protect personal data, including the use of trusted infrastructure providers. However, no system is completely secure, and we cannot guarantee the absolute security of your data.

In the event of a data incident or breach, we will comply with any legal obligations to notify affected users. However, we do not guarantee real-time notification, and we disclaim liability for unauthorized access, disclosure, or use of personal data except where required by law.

8. Age Restrictions

The Service is intended only for individuals who are at least eighteen (18) years old. By accessing or using any part of the Service, you represent and warrant that you are at least 18 years of age and that you have the legal authority and capacity to enter into these Terms and comply with them.

If you are under 18, you are prohibited from accessing or using the Service.

We implement reasonable, age-neutral measures such as date-of-birth input and may use heuristic checks to help prevent underage use.

We may require additional age verification at any time to confirm that you meet our minimum age requirement, including before allowing access to certain features or content.

9. Accounts

When you create an account with us, you agree that all information you provide will be accurate, current, and complete. You must promptly update your information if it changes. Providing false, outdated, or incomplete information may result in suspension or termination of your account.

You are responsible for maintaining the security of your account and for restricting access to your device and registered email address. You accept full responsibility for all activities that occur under your account, whether authorized by you or not. You must notify us immediately if you become aware of any unauthorized access, security breach, or misuse of your account.

You may not use a username that belongs to another person or entity, that is not lawfully available for use, or that infringes on any third party rights. You also may not use a username that is offensive, vulgar, or obscene.

We reserve the right to refuse service, remove or edit content, suspend or terminate accounts, or take any other action at our sole discretion, including where we believe a user has violated these Terms or applicable law.

All information you provide through the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you acknowledge that you have read, understood, and agreed to the terms of our Privacy Policy.

Certain information you provide during registration, such as your display name, profile image, or user summary, may be visible to other users. You are responsible for the content you share in your profile, and the Company does not verify or moderate user profiles except as required by law or these Terms.

The Service provides a selection of fictional avatars that users may choose for personal representation. These avatars are stylized and not intended to depict or stereotype any specific person, ethnicity, or identity. Users are free to select an avatar that they feel represents them, and the Company does not assign or infer personal traits based on avatar selection.

10. Intellectual Property

Except for User Content and materials provided by third parties, all intellectual property rights in the Service are owned by Epochle Pty Ltd. This includes, but is not limited to, all software, design, layout, branding, features, and other original content. These elements are protected by applicable intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service as permitted under these Terms. No other rights, title, or interest in or to any part of the Service are granted, whether by implication or otherwise.

You may not copy, modify, distribute, publicly display, reverse engineer, or otherwise exploit any portion of the Service without our prior written consent.

If you believe any content available through the Service infringes your intellectual property rights, please contact us at , and we will review the matter in good faith.

11. Copyright Policy and DMCA Compliance

Epochle Pty Ltd respects the intellectual property rights of others. In accordance with the U.S. Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512, we will respond expeditiously to claims of copyright infringement on the Service if submitted to our designated Copyright Agent as described below.

Upon receipt of a notice alleging copyright infringement, Epochle Pty Ltd will take whatever action it deems appropriate within its sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of copyright-protected content.

If you believe that your intellectual property rights have been violated by us or by a third party who has uploaded materials to the Service, please provide the following information to our designated Copyright Agent listed below:

  1. A description of the copyrighted work or other intellectual property that you claim has been infringed;
  2. A description of where the material that you claim is infringing is located on the Service;
  3. An address, telephone number, and email address where we can contact you and, if different, an email address where the alleged infringing party (if not us) can contact you;
  4. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner or other intellectual property rights owner, by its agent, or by law;
  5. A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright or intellectual property owner, or are authorized to act on the owner's behalf; and
  6. Your electronic or physical signature.

Epochle Pty Ltd may request additional information before removing any allegedly infringing material. In the event that we remove or disable access to the allegedly infringing materials, we will promptly notify the person responsible for posting such materials. We may also provide that person with your email address so they may respond to your allegations.

(b) you will not claim any intellectual property or other rights in the Feedback;

(c) the Company may already be developing similar ideas; and

(d) the Company is free to use, copy, modify, publish, distribute, or otherwise exploit the Feedback for any purpose, without compensation to you.

You acknowledge that any Feedback you submit is provided voluntarily and without expectation of payment, and that the Company has no obligation to implement it.

Our Service may contain links to third party websites or services that are not owned or controlled by Epochle Pty Ltd.

We are not responsible for the content, policies, or practices of any third party sites or services. We do not endorse or guarantee the offerings of any third party and disclaim all liability for any harm or loss arising from your use of them.

You acknowledge that Epochle Pty Ltd shall not be liable for any damage or loss caused by or related to your use of, or reliance on, any third party content, goods, or services.

We strongly recommend that you review the terms and privacy policies of any third party sites you visit.

14. Warranty Disclaimer

The Services are provided by Epochle Pty Ltd on an "as is" and "as available" basis. Epochle Pty Ltd makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials provided. You expressly agree that your use of the Service, its content, and any features or items obtained through the Service is at your sole risk.

Neither Epochle Pty Ltd nor anyone associated with the Company makes any warranty or representation as to the completeness, security, reliability, quality, accuracy, or availability of the Service. Without limiting the foregoing, we do not represent or warrant that the Service or its content will be error-free, uninterrupted, free of viruses or other harmful components, or that it will meet your expectations or requirements.

To the fullest extent permitted by law, Epochle Pty Ltd disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, noninfringement, and fitness for a particular purpose.

Epochle Pty Ltd shall not be liable for any loss or damage resulting from your inability to access or use the Service during any downtime, maintenance period, or discontinuation.

Nothing in this section affects any warranties that cannot be excluded or limited under applicable law.

15. Limitation of Liability

To the fullest extent permitted by law, Epochle Pty Ltd and its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, personal injury, property damage, legal fees, or litigation costs, arising from or related to:

  • your use of or inability to use the Service;
  • any third party conduct or content on the Service;
  • any failure or interruption of the Service;
  • unauthorized access to or alteration of your data or transmissions; or
  • your violation of any law in connection with your use of the Service.

The Company is not liable for any emotional distress, psychological injury, reputational harm, or mental anguish arising out of or related to your use of the Service, including interactions with other users or exposure to Content.

This limitation applies under all legal theories, including contract, tort (negligence), statute, or otherwise, even if we have been advised of the possibility of such damages.

If any liability is established through a final court judgment or binding arbitration award, our total liability to you shall not exceed one thousand Australian dollars (AUD $1,000), unless otherwise required by non-excludable law.

Nothing in these Terms excludes liability that cannot be excluded under the laws of Victoria, Australia. In such cases, our liability is limited to the fullest extent permitted by law.

To the fullest extent permitted by law, any claim, demand, dispute, or action arising out of or relating to your use of the Service or these Terms may be brought only against Epochle Pty Ltd as the provider of the Service and not against any director, officer, or employee of the Company. No individual associated with the Company makes any personal warranty or representation regarding the Service, and all limitations of liability, indemnities, and other protections in these Terms extend to such individuals as third-party beneficiaries.

16. Indemnity

You agree to indemnify, defend, and hold harmless Epochle Pty Ltd and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, claims, demands, actions, judgments, settlements, interest, awards, penalties, fines, costs, and expenses of any kind (including reasonable legal and accounting fees), arising from or relating to:

(a) your access to or use of the Service;

(b) your breach of these Terms;

(c) your violation of any applicable law or regulation;

(d) your infringement or violation of any third party rights, including intellectual property, privacy, publicity, or contractual rights; or

(e) any claim that your Content caused damage or loss to a third party.

This indemnity applies to the fullest extent permitted by law and will survive the termination or expiration of these Terms and your use of the Service.

17. Termination

We may suspend or terminate your account and access to the Service at any time, at our sole discretion, with or without prior notice, including but not limited to cases where we believe you have violated these Terms, applicable laws, or engaged in conduct that may harm the Service or its users.

You may terminate your account at any time by discontinuing use of the Service.

Upon termination, your right to access and use the Service will cease immediately. We are not responsible for any loss of data or content following account termination.

The following provisions will survive termination: intellectual property rights, content rights and licenses, prohibited uses, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, waiver and severability, and any other terms which by their nature should reasonably survive termination.

18. Governing Law and Dispute Resolution

a. Governing Law and Forum

These Terms of Service and any dispute arising out of or relating to them, or to your use of the Service, shall be governed exclusively by the laws of the State of Victoria, Australia, without regard to conflict of law principles, subject to any mandatory consumer rights that cannot be lawfully excluded. You agree that the courts of Victoria, Australia shall have exclusive jurisdiction over any such dispute, and you irrevocably submit to the personal jurisdiction of those courts.

b. Exclusive Australian Jurisdiction

Except where the Company elects to resolve a dispute through arbitration in accordance with Section 18(h), or where required by applicable law, any dispute, claim, or controversy arising out of or in connection with the Service or these Terms shall be brought solely in the courts located in Victoria, Australia.

c. No Submission to Foreign Jurisdiction

Epochle Pty Ltd does not submit to the jurisdiction of any foreign court or tribunal. If a court outside Australia asserts jurisdiction contrary to these Terms, Epochle Pty Ltd expressly reserves all defenses available under Australian and applicable foreign law, including objections based on lack of jurisdiction, forum non conveniens, and conflict of laws.

d. Informal Resolution Required First

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at . Most issues can be resolved without resorting to formal proceedings.

e. Limitation on Time to File Claims

To the fullest extent permitted by law, any claim or cause of action you may have arising out of or relating to your use of the Service or these Terms must be commenced within one (1) year after the claim arises. Claims filed after this time period are permanently barred.

f. Severability of Dispute Terms

If any part of this Section is held unenforceable, the remainder shall remain in full force and effect. Any invalid provision will be interpreted to most closely reflect the parties' intent. This section survives termination of your account or access to the Service.

g. No Class Actions

You agree to resolve any dispute with us on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and the Company agree otherwise, no court or arbitrator may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

h. Arbitration (Optional)

At the Company's election, and where permitted by applicable law, the Company may require that a dispute be resolved through arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) by a single arbitrator appointed in accordance with those rules. The seat of arbitration shall be Melbourne, Victoria, and the language shall be English.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator. Any arbitral award shall be final and binding, and judgment on the award may be entered in the courts of Victoria, Australia.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief, or from enforcing a judgment or arbitral award, in the courts of Victoria, Australia.

You agree that any arbitration will be conducted on an individual basis only. The arbitrator shall not consolidate the claims of multiple individuals or preside over any class, representative, or group proceeding.

19. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also add, modify, or remove features or functionality at any time. Your continued use of the Service after any changes to the Service constitutes your acceptance of those changes. We are not liable if the Service or any part of it becomes unavailable or is modified at any time.

We may update these Terms from time to time. When we do, we will post the updated version on this page. Unless otherwise stated, the revised Terms become effective upon posting. Your continued access to or use of the Service after any updates to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

You are responsible for reviewing these Terms periodically. Continued use of the Service following any updates constitutes your binding agreement to the revised Terms.

20. Waiver and Severability

No waiver by Epochle Pty Ltd of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Epochle Pty Ltd to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.

Nothing in these Terms is intended to exclude, restrict, or modify any mandatory consumer rights or remedies that may apply to you under the laws of your country or state of residence where such rights cannot be lawfully excluded or limited.

21. Acknowledgment

BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.

22. Entire Agreement

These Terms of Service, our Privacy Policy, and any other agreements expressly incorporated by reference herein, constitute the sole and entire agreement between you and Epochle Pty Ltd regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

23. Governance, Moderation and Safety Disclosures

User-Hosted Rooms

Users may create and optionally moderate rooms using in-app tools. These users are not agents or representatives of the Company, and the Company is not responsible for moderation decisions made by users.

1. Policy Framework

The Company maintains internal policies for acceptable content and user safety, which may be updated from time to time. We may remove or restrict access to content that violates these Terms or applicable law. Enforcement decisions are made at our discretion, and the timing or manner of any review may vary. Content may be removed without notice.

The Company implements technical and organizational measures to help protect user data, but no system is completely secure. The Company is not responsible for user conduct and does not guarantee the behavior of any user on the platform. We may take reasonable actions, including content removal or service limitations, to address potential harm, risk, or violations of these Terms.

The Company disclaims all responsibility for disputes or claims between users, or between users and third parties, arising from content or interactions on the Service. Nothing in these Terms obligates the Company to mediate, resolve, or participate in user disputes unless required by law.

2. Algorithmic Functionality

The Service uses automated systems to recommend rooms and organize content. These systems are not manually curated and operate without direct human review of individual content. They are not designed to discriminate on the basis of race, gender, religion, disability, or any other legally protected characteristic.

Although these systems are not monitored in real time, we may review their performance to identify unintended, harmful, or biased outcomes. We may update, retrain, adjust, or disable algorithmic components from time to time to improve fairness, transparency, or safety. Your use of the Service constitutes acceptance of these automated systems and their inherent limitations.

3. Company-Managed Activity

From time to time, representatives of the Company, including directors and authorized staff, may use the Service for operational, testing, quality assurance, safety, or participation purposes. This may include creating or hosting rooms, posting messages, contributing content, engaging in conversations, or using available moderation tools. When engaging in such activity, they act solely in their official capacity as representatives of the Company and not as individual users.

Company-managed activity is carried out at the Company's discretion and remains subject to these Terms. Company personnel may use moderation tools where appropriate, but they are not obligated to monitor content, resolve user disputes, or enforce community standards except where required by law. Their participation does not constitute an endorsement of any user, content, or viewpoint.

4. Moderation Tools and Delegation

The Company may make available automated or semi-automated tools that can assist in identifying or managing content that appears to violate these Terms or applicable law. These systems may include filters, heuristics, keyword detection, or machine-learning models and may operate without human review. These tools do not constitute proactive monitoring, and the Company does not guarantee detection, removal, or enforcement in any particular instance.

Moderation capabilities may also be made available to certain users, such as room creators or hosts ("Room Owners"), who may choose to use in-app tools to manage discussions within their respective rooms. Use of these tools by room creators is entirely optional and at their discretion. The Company does not require users to moderate rooms and does not assign or impose moderation responsibilities on any user.

Room Owners act independently as users of the Service and not as representatives or agents of the Company. They exercise moderation tools at their own discretion and risk, and the Company is not responsible for their decisions or actions.

Contractors or third-party service providers engaged by the Company may be granted moderation or operational permissions for support or safety purposes. Unless expressly authorized in writing, contractors are not agents of the Company and the Company is not responsible for their individual moderation decisions.

To the fullest extent permitted by law, the Company disclaims responsibility for the actions, omissions, or moderation decisions of Room Owners, contractors, third-party providers, or automated systems, except to the extent that harm is caused directly by moderation actions taken by the Company itself.

Moderation tools may be updated, retrained, limited, or disabled based on performance, safety considerations, or legal requirements. While the Company aims to improve accuracy and fairness, moderation systems are inherently imperfect and may generate errors, including false positives, failures to act, or inconsistent enforcement. Users are encouraged to report problematic content through available in-app tools.

Room Owners may also be provided with optional in-app controls such as participant limits, seat-duration settings, or user-removal tools. These controls are used at the discretion of each Room Owner. The Company does not monitor or pre-approve how these tools are used and disclaims liability for moderation decisions made by Room Owners.

Use of the Service constitutes acceptance of these moderation limitations.

5. User Safety and Intervention

The Company is committed to fostering a safe environment for users. The Service includes safety tools such as:

  • The ability for users to block other users from interacting with them;
  • In-app reporting mechanisms for content or behavior that may violate these Terms.

Blocking prevents further direct interactions from the blocked user within rooms or features where blocking is supported. It is a user-controlled function and does not trigger automatic review or moderation by the Company. Users are encouraged to use these tools as a first step in managing personal boundaries and preventing unwanted interactions.

The Company may, at its discretion, take further action, including content removal or account suspension, in response to credible reports of harm or abuse. These actions may be manual or automated and are not guaranteed to occur in real time.

Blocking functionality may not prevent all exposure to content from a blocked user, particularly in shared or public areas or where technical limitations apply. The Company is not responsible for interactions or content not filtered by user-level blocking.

The Service also includes social features such as direct messaging and friend requests. Users may choose to connect or communicate with one another at their own discretion, including choosing to continue interactions outside the Service.

The Company is not responsible for any interactions, communications, or relationships that occur outside the Service, including where users choose to connect via third-party platforms such as messaging apps, social networks, or other services.

The Company does not verify the identities, intentions, or conduct of users and disclaims all responsibility for the consequences of user-to-user interactions, including friendships or private communications. You are solely responsible for managing your relationships and communications.

If issues arise, we encourage the use of available blocking and reporting tools as appropriate. The Company does not mediate or resolve user disputes.

6. Accessibility

We aim to make the Service usable by a broad range of users, including those with disabilities. While we do not warrant full compliance with global accessibility standards, we design features with inclusivity in mind and welcome user feedback to support ongoing improvement.

7. Crisis Response

In the event of a user safety crisis or credible threat of harm, the Company reserves the right to restrict access, suspend content, notify relevant parties, or take other reasonable actions. While we cannot guarantee prevention or intervention in all cases, we aim to respond promptly to verified safety concerns.

8. Reactive Content Takedown Policy

The Company takes reasonable steps to address illegal or harmful content, including harassment, hate speech, defamation, threats, and copyright infringement, when such content is brought to our attention through the reporting mechanisms provided in these Terms.

While the Company does not proactively monitor all user-generated content, especially in user-hosted rooms, we may take reactive enforcement action in public or widely visible areas of the Service. These actions may include, but are not limited to:

  • Content takedown or restriction;
  • Account warning, suspension, or removal;
  • Disabling of rooms or features;
  • Referral to appropriate authorities where legally required.

Reports may be submitted through in-app tools or by following the written reporting process described under our content and copyright policies. The timing, scope, and outcome of any enforcement action are at the Company's sole discretion and may vary depending on the nature, severity, and credibility of the report.

This process does not constitute a submission to any foreign court or tribunal, nor does it imply prior editorial control or pre-approval of user content. The Company's role is limited to infrastructure provision and post-report intervention, and no real-time review is guaranteed.

Use of the Service constitutes acceptance of these moderation and enforcement limitations.

9. United Kingdom – Online Safety Compliance

Where the Service is available in the United Kingdom, the Company maintains systems and processes intended to help identify and reduce the risk of illegal content and user harm, and to support compliance with applicable UK online safety laws (including the Online Safety Act 2023).

These measures may include content policies, user reporting tools, moderation systems, and internal risk assessments. The Company may update features, moderation practices, or access controls from time to time to address identified risks.

The Company does not guarantee the detection or removal of all illegal or harmful content and does not conduct real-time monitoring of all user activity.

24. Interpretation of Headings

The headings used in these Terms of Service are for convenience only and shall not affect the meaning or interpretation of any provision.
